AXD Global NIG (also known as AXD Global Services, AXD Global, or AXD) and/or its affiliates provide website features and other products and services to you when you visit axdglobal.com, use AXD products or services, use AXD Global applications for mobile, or use software provided by AXD Global in connection with any of the foregoing (collectively, "AXD Global Services"). AXD Global NIG provides the AXD Global Services subject to the following conditions.

By using AXD Global Services, you agree to these conditions. Please read them carefully. We offer a wide range of AXD Global Services, and sometimes additional terms may apply. When you use an AXD Global Service (for example, Your Profile/Account, AXD Global Wallet, or AXD Global Applications) you also will be subject to the guidelines, terms and agreements applicable to that AXD Global Service ("Service Terms").

We may modify these Terms and Conditions of Use at any time without notice to you by posting revised Terms and Conditions of Use on our Web Sites and such modification will be effective upon posting by Company on the Web Sites. Your continued use of our Web Sites after AXD Global posts a revised Terms and Conditions of Use constitutes your binding acceptance including any modifications that we make. It is therefore important that you review these Terms and Conditions of Use regularly to ensure you are updated as to any changes.

Please review our Privacy Notice, which also governs your use of AXD Global Services, to understand our practices.

When you use AXD Global Services, or send e-mails, text messages, and other communications from your desktop or mobile device to us, you may be communicating with us electronically. You consent to receive communications from us electronically, such as e-mails, texts, mobile push notices, or notices and messages on this site or through the other AXD Global Services, and you can retain copies of these communications for your records. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

Graphics, logos, page headers, button icons, scripts, and service names included in or made available through any AXD Global Service are trademarks or trade dress of AXD Global in Nigeria and other countries. AXD Global's trademarks and trade dress may not be used in connection with any product or service that is not AXD Global's, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits AXD Global. All other trademarks not owned by AXD Global that appear in any AXD Global Service are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by AXD Global.

Subject to your compliance with these Conditions of Use and any Service Terms, and your payment of any applicable fees, AXD Global or its content providers grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and make personal and non-commercial use of the AXD Global Services. This license does not include any resale or commercial use of any AXD Global Service, or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of any AXD Global Service or its contents; any downloading, copying, or other use of account information for the benefit of any third party; or any use of data mining, robots, or similar data gathering and extraction tools. All rights not expressly granted to you in these Conditions of Use or any Service Terms are reserved and retained by AXD Global or its licensors, suppliers, publishers, rightsholders, or other content providers. No AXD Global Service, nor any part of any AXD Global Service, may be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without express written consent of AXD Global. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of AXD Global without express written consent. You may not use any meta tags or any other "hidden text" utilizing AXD Global's name or trademarks without the express written consent of AXD Global. You may not misuse the AXD Global Services. You may use the AXD Global Services only as permitted by law. The licenses granted by AXD Global terminate if you do not comply with these Conditions of Use or any Service Terms.

You may need your own AXD Global account to use certain AXD Global Services, and you may be required to be logged in to the account and have a valid payment method associated with it. If there is a problem charging your selected payment method, we may charge any other valid payment method associated with your account. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your account, and you agree to accept responsibility for all activities that occur under your account or password. If you are under 18, you may use the AXD Global Services only with involvement of a parent or guardian. Parents and guardians may create profiles for teenagers in their AXD Global Household. AXD Global reserves the right to refuse service, terminate accounts, terminate your rights to use AXD Global Services, remove or edit content, or cancel subscriptions in its sole discretion.

We have the right, but not the obligation, to take any of the following actions, in our sole discretion at any time, and for any reason without giving you any prior notice

The technology and the software underlying our Web Sites and the Services (including any software that we make available for download or use from the Web Sites and/or our servers) (the "Software") is the property of AXD Global, our affiliates, our partners, or independent suppliers. Your use of the Websites or Software may be governed by the terms of an end-user license agreement that accompanies or is included with the Websites or Software (the "License Agreement"). Please carefully read the License Agreement and these Terms and Conditions of Use to determine the full extent of conditions governing the use of such Websites or Software. Except if expressly permitted by the License Agreement, you agree not to copy, modify, rent, lease, loan, sell, assign, distribute, reverse engineer, grant a security interest in, or otherwise transfer any right to the technology or Software underlying our Web Sites or the Services. You agree not to modify the Software underlying our Web Sites or the Services, in any manner or form or to use modified versions of such Software, including (without limitation) for the purpose of obtaining unauthorized access to our Web Sites.

You may post reviews, comments, photos, videos, and other content; send other communications; and submit suggestions, ideas, comments, questions, or other information, so long as the content is not illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights (including publicity rights), or otherwise injurious to third parties or objectionable, and does not consist of or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or any form of "spam" or unsolicited commercial electronic messages. You may not use a false e-mail address, impersonate any person or entity, or otherwise mislead as to the origin of content. AXD Global reserves the right (but not the obligation) to remove or edit such content, but does not regularly review posted content.

If you do post content or submit material, and unless we indicate otherwise, you grant AXD Global a nonexclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, perform, translate, create derivative works from, distribute, and display such content throughout the world in any media. You grant AXD Global and sublicensees the right to use the name that you submit in connection with such content, if they choose. You represent and warrant that you own or otherwise control all of the rights to the content that you post; that the content is accurate; that use of the content you supply does not violate this policy and will not cause injury to any person or entity; and that you will indemnify AXD Global for all claims resulting from content you supply. AXD Global has the right but not the obligation to monitor and edit or remove any activity or content. AXD Global takes no responsibility and assumes no liability for any content posted by you or any third party.

Axdglobal.com implements a robust refund policy. You may be automatically refunded, by the sole discretion of AXD Global, for eligible payments made on axdglobal.com where we are clearly unable to render the subscribed service.
IMPORTANT: All refunds for eligible payments shall be made to the user’s eWallet, which can be utilized for subsequent payments or subscriptions.

When online payment of invoices for advertising services purchased pursuant to an Advertising Agreement is offered through the Web Sites, you will be prompted to authorize us to charge the credit/debit card account or other bank account that you provide. You will be given the opportunity to choose from three (2) payment options: (1) on demand payments, (2) automatic recurring payments.

Once payments have been charged to your credit/debit card or other bank account, they are nonrefundable except in circumstance where we are clearly unable to render the subscribed service, and in accordance with the terms of the Advertising Agreement and our refund policy. You will also be responsible for paying any authorized payments charged to your credit/debit card or other bank account by someone who uses your credit/debit card or authorizes a debit from your bank account without your permission, even if your credit/debit card company or bank does not cover such costs.

AXD Global attempts to be as accurate as possible. However, AXD Global does not warrant that product or service descriptions or other content of any AXD Global Service is complete, current, or error-free. If a product or service offered by AXD Global itself is not entirely as described, your sole remedy is to register a complaint with our Customer Service team.

Kindly note that listed price for the various subscription packages and other products on the AXD Global platforms are subject to change, at our discretion.

When you use apps created by AXD Global, such as the AXD Global App, you may grant certain permissions to us for your device. Most mobile devices provide you with information about these permissions.

Parties other than AXD Global operate stores, provide services or software, or sell product lines through the AXD Global Services. In addition, we provide links to the sites of affiliated companies and certain other businesses. If you purchase any of the products or services offered by these businesses or individuals, you are purchasing directly from those third parties, not from AXD Global. We are not responsible for examining or evaluating, and we do not warrant, the offerings of any of these businesses or individuals (including the content of their Web sites). AXD Global does not assume any responsibility or liability for the actions, product, and content of all these and any other third parties. You should carefully review their privacy statements and other conditions of use.

THE AXD GLOBAL SERVICES AND ALL INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) AND OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE AXD GLOBAL SERVICES ARE PROVIDED BY AXD GLOBAL ON AN "AS IS" AND "AS AVAILABLE" BASIS, UNLESS OTHERWISE SPECIFIED IN WRITING. AXD GLOBAL MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE AXD GLOBAL SERVICES, OR THE INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) OR OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE AXD GLOBAL SERVICES, UNLESS OTHERWISE SPECIFIED IN WRITING. YOU EXPRESSLY AGREE THAT YOUR USE OF THE AXD GLOBAL SERVICES IS AT YOUR SOLE RISK.

TO THE FULL EXTENT PERMISSIBLE BY LAW, AXD GLOBAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. AXD GLOBAL DOES NOT WARRANT THAT THE AXD GLOBAL SERVICES, INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) OR OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE AXD GLOBAL SERVICES, AXD GLOBAL'S SERVERS OR ELECTRONIC COMMUNICATIONS SENT FROM AXD GLOBAL ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU UNDERSTAND AND AGREE THAT COMPANY LIMITS ITS LIABILITY IN CONNECTION WITH YOUR USE OF THE WEB SITES AS SET FORTH BELOW:

UNDER NO CIRCUMSTANCES SHALL THE COMPANY PARTIES BE LIABLE TO YOU FOR ANY LOSS OR DAMAGES OF ANY KIND (INCLUDING, WITHOUT LIMITATION, FOR ANY SPECIAL, DIRECT, INDIRECT, INCIDENTAL, EXEMPLARY, ECONOMIC, PUNITIVE, OR CONSEQUENTIAL DAMAGES THAT ARE DIRECTLY OR INDIRECTLY RELATED TO: (1) THE WEB SITES, THE CONTENT, YOUR CONTRIBUTION TO CUSTOM ADVERTISEMENTS, OR CUSTOM ADVERTISEMENTS; (2) THE USE OF, INABILITY TO USE, OR PERFORMANCE OF THE WEB SITES; (3) ANY ACTION TAKEN IN CONNECTION WITH AN INVESTIGATION BY COMPANY OR LAW ENFORCEMENT AUTHORITIES REGARDING YOUR USE OF THE WEB SITES OR CONTENT (INCLUDING THE TEMPLATES); (4) ANY ACTION TAKEN IN CONNECTION WITH COPYRIGHT OWNERS; (5) ANY ERRORS OR OMISSIONS IN THE WEB SITES' TECHNICAL OPERATION, EVEN IF FORESEEABLE OR EVEN IF THE COMPANY PARTIES AND INDIVIDUALS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES WHETHER IN AN ACTION OF CONTRACT, NEGLIGENCE, STRICT LIABILITY TORT (INCLUDING, WITHOUT LIMITATION, WHETHER CAUSED, IN WHOLE OR IN PART, BY NEGLIGENCE, ACTS OF GOD, TELECOMMUNICATIONS FAILURE, OR THEFT OR DESTRUCTION OF THE WEB SITES); OR (6) ANY ACT, OMISSION, FAILURE TO DISTRIBUTE, MISTAKE AND/OR ERROR IN THE CREATION, DEVELOPMENT AND/OR DISTRIBUTION OF CUSTOM ADVERTISEMENTS. IN NO EVENT WILL THE COMPANY PARTIES AND INDIVIDUALS BE LIABLE TO YOU OR ANYONE ELSE FOR LOSS OR INJURY, INCLUDING, WITHOUT LIMITATION, DEATH OR PERSONAL INJURY.

THE PARTIES AND INDIVIDUALS ARE NOT RESPONSIBLE FOR ANY DAMAGE TO ANY USER'S COMPUTER, MODEM, CELL PHONE, HARDWARE, SOFTWARE, OR OTHER EQUIPMENT OR TECHNOLOGY INCLUDING, WITHOUT LIMITATION, DAMAGE FROM ANY SECURITY BREACH OR FROM ANY VIRUS, BUGS, TAMPERING, FRAUD, ERROR, OMISSION, INTERRUPTION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER LINE OR NETWORK FAILURE OR ANY OTHER TECHNICAL OR OTHER MALFUNCTION.

AXD Global will provide you with notice if your materials have been removed based on a third party complaint of alleged infringement of the third party’s intellectual property rights. As a regular part of our business, AXD Global may display advertisements and product listings from a wide variety of companies. We encourage the owners of intellectual property rights who believe their rights are being infringed by a company who advertises or lists its products on our site to resolve their disputes directly with that company. AXD Global is not in a position to arbitrate disputes between users or the owners of intellectual property rights and companies who advertise or list their products on our Web Sites. As a courtesy to owners of intellectual property rights, we may perform a limited investigation of reasonable complaints. However, we provide no guarantee that we will remove the allegedly infringing materials from our Web Sites.

Additionally, you understand and agree that AXD Global will determine your compliance with these Terms and Conditions of Use, in its sole discretion. AXD Global reserves the right to deny access to all or part of the Web Sites and to deny access to any person for any reason, in its sole discretion, without notice or liability of any kind. Any violation of these Terms and Conditions of Use may be referred to law enforcement authorities. Upon termination of your user account or access to the Web Site, or upon demand by AXD Global, you must destroy all materials obtained from this Web Site and all related documentation. Unauthorized access to any of our Web Sites is a breach of these Terms and Conditions of Use and a violation of the law. You agree not to access our Web Sites by any means other than through the interface that is provided by AXD Global for use in accessing our Web Sites. You agree not to use any automated means, including, without limitation, agents, robots, scripts, or spiders, to access, monitor, or copy any part of our Web Sites, except those automated means that have been approved in advance and in writing.

You are solely responsible for compliance with applicable laws, rules, and regulations in connection with your use of the Web Sites and the Content, including, without limitation, those governing your transmission or use of any software or data. If you are given the option to choose a username or provide an information, and the username or information chosen, in our sole discretion, is obscene, indecent, abusive or might subject us to public disparagement or scorn, AXD Global reserves the right, without prior notice to you, to automatically change your username or information provided, delete your posts from our Web Sites, deny you access to our Web Sites, or any combination of these options.

If you do not agree to these Terms and Conditions of Use, you should immediately stop using the Services. If you want to delete your account on a Web Site or any Services, please contact AXD Customer Support immediately. Any User Upload or other User information you made while using the Services will be disposed under the sole discretion of AXD Global. Sections of this Terms and Conditions of Use, deemed relevant by AXD Global will survive any termination of your access to the Services, whether we terminate your access or you voluntarily discontinue your use.

THESE TERMS AND CONDITIONS OF USE SHALL BE CONSTRUED IN ACCORDANCE WITH THE LAWS OF LAGOS STATE, WITHOUT REGARD TO ITS CONFLICTS OF LAWS RULES AND SPECIFICALLY WILL NOT BE GOVERNED BY THE UNITED NATIONS CONVENTIONS ON CONTRACTS FOR THE INTERNATIONAL SALE OF GOODS, IF OTHERWISE APPLICABLE.

You agree that jurisdiction over and venue in any legal proceeding directly or indirectly arising out of or relating to the Web Sites, the Use or Access thereof, or these Terms and Conditions of Use must be in the state or federal courts located in Lagos State and you hereby consent and submit to the exclusive personal jurisdiction and venue of the courts located in Lagos State, for any such legal proceeding.

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of our Web Sites or these Terms and Conditions of Use must be filed within six (6) months after such claim or cause of action arose or be forever barred.

To the fullest extent permitted by applicable law, you agree that any and all disputes, claims and causes of action you may have in connection with or related to the Web Sites will be resolved individually, without resort to any form of class action.

You represent that you have all requisite power and authority to agree to be bound by these Terms and Conditions of Use, and to perform all of the acts and obligations set forth in these Terms and Conditions of Use.

We may be required by state or federal law to notify you of certain events. You hereby acknowledge and agree that such notices will be effective upon our posting them on our Web Sites or delivering them to you via email. You may update your email address by visiting the Services where you have provided contact information. If you do not provide us with accurate information, we will not be responsible for failure to notify you. These Terms and Conditions of Use, including all Additional Terms, conditions, and policies on the Services and, if applicable any Advertising Agreements, constitute the entire agreement between you and us and supersede all prior agreements with respect to the subject matter hereof.

The AXD Global’s failure to exercise or enforce any right or provision of these Terms and Conditions of Use shall not constitute a waiver of such right or provision.

These Terms and Conditions of Use, including all terms, conditions, and policies that are incorporated into these terms by reference, constitute the entire agreement between you and AXD Global and govern your use of our Web Sites and Applications, superseding any prior agreements that you may have with AXD Global.

If any part of these Terms and Conditions of Use is determined to be invalid or unenforceable pursuant to applicable law, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision, and the remainder of the Terms and Conditions of Use shall continue in effect.
